By accessing and using NetChangeGuardAI (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any provision of these Terms, you may not access or use the Service. Your use of the Service constitutes your acceptance of these Terms in their entirety.

License Grant

We grant you a non-exclusive, non-transferable, revocable license to access and use the Service according to the plan you have subscribed to. This license is conditioned upon your compliance with these Terms.

Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract. If you are using the Service on behalf of your employer or organization, you represent and warrant that you have authority to bind that entity to these Terms.

Account Security

You are responsible for maintaining the confidentiality of your login credentials and are liable for all activities that occur under your account. Notify us immediately of any unauthorized access or suspicious activity.

Authorized Users

You may invite authorized team members to use the Service through your account. You remain responsible for their actions and their compliance with these Terms. Remove access immediately when a team member leaves your organization.

Prohibited Activities

You agree not to:

• Use the Service for any illegal, fraudulent, or harmful purpose
• Attempt to gain unauthorized access to the Service or its infrastructure
• Interfere with or disrupt the operation of the Service or other users' access
• Reverse engineer, decompile, or attempt to extract source code or algorithms
• Share your account credentials with unauthorized third parties
• Upload malicious software or content that violates intellectual property rights
• Use automated tools, bots, or scrapers without prior written permission
• Perform security testing or vulnerability assessments without authorization
• Resell, sublicense, or redistribute the Service without permission
• Use the Service to process data for competing commercial purposes

Network Configuration Responsibility

You are responsible for the network changes you input into the Service. NetChangeGuardAI provides analysis, recommendations, and validation, but final approval authority for network changes remains with your organization. You acknowledge that network changes carry inherent risk and may impact network stability.

Compliance with Applicable Law

You agree to comply with all applicable laws, regulations, and industry standards applicable to your use of the Service. This includes export control regulations, data protection laws, and your industry-specific compliance requirements.

Subscription Plans

NetChangeGuardAI offers three subscription tiers: Essentials, Professional, and Enterprise. Each tier includes specific features, usage limits, and support levels as detailed on our pricing page. Pricing is in USD unless otherwise specified in your order.

Billing Terms

Subscriptions are billed monthly or annually based on your selection. Billing occurs on the same date each month/year. You authorize us to charge your payment method for subscription fees. If billing fails, your access may be suspended after 30 days of non-payment.

Overage Charges

If you exceed usage limits for your plan (e.g., network devices monitored, API calls), we will notify you and may charge additional fees according to our current overage pricing. Excessive overages may require upgrading to a higher tier.

Refunds

Subscriptions are non-refundable. If you cancel mid-subscription, no prorated refunds are provided. Monthly subscriptions can be cancelled anytime; annual subscriptions may be cancelled with 30 days' notice.

Price Changes

We may adjust subscription pricing with 30 days' notice. Existing subscriptions will continue at current pricing for the remainder of the billing period. Price changes take effect at your next renewal.

Company IP

The Service, including software, documentation, design, graphics, and all content, are the exclusive property of NetChangeGuardAI or our licensors. You may not copy, modify, or redistribute any part of the Service without explicit written permission.

Your Content

You retain all rights to network configurations and change requests you input into the Service ("Your Content"). By using the Service, you grant us a license to process, analyze, and store Your Content to provide the Service.

Feedback

Any feedback, suggestions, or improvement ideas you provide may be used by NetChangeGuardAI for service improvements without compensation or attribution. We are not obligated to implement any feedback.

Trademarks

"NetChangeGuardAI" and associated logos are trademarks of NetChangeGuardAI. You may not use these trademarks without express written permission.

Maximum Liability

EXCEPT FOR BREACH OF CONFIDENTIALITY OR INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, IN NO EVENT SHALL NETCHANGEGUARDAI'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

Excluded Damages

IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Third-Party Claims

We are not liable for claims arising from third-party actions, including unauthorized access, network changes made by unauthorized users, or interference by malicious actors.

AS-IS Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted or error-free service. Network changes carry inherent risks; NetChangeGuardAI provides analysis and recommendations, but cannot guarantee prevention of all network incidents.

AI Model Performance

Our AI models provide statistical predictions based on historical data. Predictions may be inaccurate. Final deployment decisions remain your responsibility. We do not warrant that our AI will detect all conflicts or risks.

Third-Party Integrations

We are not responsible for third-party services or APIs we integrate with (Cisco, Juniper, AWS, etc.). Their availability, reliability, and performance are their responsibility.

You agree to indemnify, defend, and hold harmless NetChangeGuardAI, its executives, employees, and agents from any claims, damages, or costs (including attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your network changes or configurations; (c) your violation of applicable law; or (d) any claim that Your Content infringes third-party intellectual property rights.

Your Confidential Information

We treat your network configurations and change data as confidential. We will not disclose Your Content to third parties except as required by law or as described in our Privacy Policy. We protect this information using industry-standard encryption and access controls.

Our Confidential Information

Any information we provide about our platform, algorithms, or systems is confidential. You agree not to disclose this information publicly or to competitors without our permission.

Exceptions

Confidentiality obligations do not apply to information that: is publicly available; was known to you before disclosure; is independently developed; or is legally required to be disclosed by court order or regulatory authority.

Termination for Convenience

You may terminate your subscription at any time by cancelling through your account settings. Your access will be revoked at the end of your current billing cycle.

Termination for Breach

We may suspend or terminate your access immediately if you: violate these Terms; breach our Acceptable Use Policy; fail to pay fees; or pose a security or legal risk.

Effect of Termination

Upon termination, you must cease all use of the Service. Your stored data will be deleted according to your retention settings unless legally required to retain. You remain liable for any obligations incurred before termination.

Governing Law

These Terms are governed by the laws of the State of California without regard to conflict of law provisions. You irrevocably submit to the exclusive jurisdiction of the courts located in San Francisco, California.

Informal Resolution

Before initiating legal action, you agree to contact us at [email protected] to attempt good-faith resolution of any dispute.

Arbitration

If informal resolution fails, any dispute shall be resolved through binding arbitration administered by JAMS, not in court (except for injunctive relief). The arbitrator's decision is final and binding.

Class Action Waiver

You agree not to pursue claims as a plaintiff or class member in any class, group, or representative action against NetChangeGuardAI.

We may modify these Terms at any time. Material changes will be notified via email or prominent notice on our website. Your continued use of the Service after changes become effective constitutes acceptance. If you disagree with changes, you may terminate your subscription.
